Job Overview
Job Purpose The Chief Executive Officer is responsible for the overall leadership, management, performance, growth and sustainability of the Company. The CEO shall develop and recommend the Company's strategy for Board approval and shall have full responsibility for implementing the approved strategy, annual business plan and budget. The CEO is accountable to the Board of Directors for the overall financial, operational and organizational performance of the Company and shall manage the business within the approved Delegation of Authority, policies and governance framework. Key Responsibilities A. Strategy & Direction Develop the Company's short-, medium- and long-term strategy for Board approval. Translate the approved strategy into annual business plans, budgets and measurable objectives. Identify growth opportunities, new markets, investments and business-development initiatives. Monitor market, competitive and economic developments affecting the business. Recommend strategic changes to the Board when required. Ensure all business units are aligned with the overall Group strategy. B. Financial Performance Deliver the approved revenue, profitability, cash-flow and return targets. Prepare the annual budget and financial forecasts for Board approval. Monitor actual performance against budget and take timely corrective action. Ensure strong financial discipline, cost control and working-capital management. Ensure major capital expenditures and investments are commercially justified. Protect the financial strength and assets of the Company. C. Business & Operational Management Have overall responsibility for the day-to-day management of the Company. Ensure each business unit achieves its agreed financial and operational targets. Establish clear accountability and KPIs for Business Unit Heads and senior management. Improve operational efficiency, productivity, quality and customer service. Ensure proper coordination between businesses and support functions. Resolve major operational issues affecting Company performance. D. Leadership & People Build and lead a competent, professional and accountable management team. Set clear objectives and performance expectations for senior executives. Conduct regular management performance reviews. Recruit, develop and retain high-quality management talent. Establish succession plans for critical management positions. Promote a culture of accountability, integrity, teamwork and high performance. E. Business Development & Growth Identify and evaluate new business opportunities. Assess potential expansion into new markets, products and services. Evaluate strategic partnerships, joint ventures and acquisitions. Maintain strong relationships with key customers, partners and other stakeholders. Present major investment and expansion proposals to the Board for approval where required. Ensure approved strategic projects are successfully implemented. F. Governance & Board Relationship Act as the principal executive link between the Board and management. Provide the Board with accurate, timely and transparent information. Present financial results, business performance, strategic developments and significant risks. Implement Board-approved decisions and resolutions. Operate within the approved Delegation of Authority. Refer matters exceeding the CEO's authority to the appropriate Board authority. Promptly escalate material financial, operational, legal, compliance or reputational issues. Relationship with Board Committees The CEO shall cooperate with the Board Committees and provide the information and management support necessary for them to carry out their oversight responsibilities. Audit, Risk & Compliance Committee (ARCC) The CEO shall: Ensure effective risk-management, compliance and internal-control systems. Ensure internal and external audit matters are properly addressed. Ensure management responds appropriately to audit findings. Escalate material risks and compliance matters. Nomination, Remuneration & Governance Committee (NRGC) The CEO shall: Support senior-management succession planning. Provide recommendations regarding senior-management structure and talent requirements. Implement approved executive performance and remuneration policies. Promote strong corporate-governance practices throughout the organization. Business Support & Development Committee (BSDC) The CEO shall: Present business performance, strategic initiatives and development opportunities. Present major investments, projects and expansion proposals. Obtain guidance or approval where matters fall within the Committee's delegated authority. Implement approved recommendations and decisions. Board Committees provide oversight, challenge, advice and recommendations. They do not manage the Company's day-to-day operations. Family Business Responsibilities The CEO shall: Protect the long-term interests, reputation and values of the family-owned business. Maintain professional management standards throughout the Company. Balance long-term shareholder objectives with commercial and operational requirements. Treat family and non-family executives fairly and professionally. Maintain strict confidentiality concerning Company, shareholder and family matters. Identify and manage potential conflicts of interest appropriately. Support long-term continuity and succession planning. Maintain appropriate boundaries between ownership, governance and executive management. Ensure individual shareholders, directors or family members do not bypass the approved management reporting structure.
Desired Candidate Profile
Bachelor's degree in Business Administration, Finance, Economics, Engineering or a relevant discipline. MBA or equivalent postgraduate qualification preferred. Minimum 15 years of progressive senior-management experience. Significant experience as CEO, Managing Director, General Manager or equivalent senior executive. Proven experience managing multiple businesses or diversified operations. Strong financial, commercial and operational background. Demonstrated ability to develop and execute business strategy. Experience working with Boards of Directors and Board Committees. Experience in a family-owned business environment is highly desirable. Employment Type Full-time
